1. Services Offered

YoungKio provides digital music-related products and services, including but not limited to:

• Licensing of instrumental beats and musical compositions
• Licensing of digital music products
• Distribution or sale of musical works
• Other music-related services and digital goods

All products offered are subject to the licensing terms provided at the time of purchase.

2. Binding Agreement Upon Purchase

By purchasing any instrumental, license, digital product, or service from YoungKio, the purchaser acknowledges and agrees that:

• The act of purchasing constitutes a legally binding agreement and acceptance of all licensing terms and contractual conditions associated with the purchase.
• The purchase of any license or instrumental shall constitute the equivalent of a legally binding signature acknowledging acceptance of the applicable licensing contract and these Terms of Service.
• All purchasers are responsible for reviewing the license terms, agreements, and conditions prior to completing any transaction.

Completion of a purchase indicates that the buyer has reviewed, understood, and agreed to all applicable agreements, including but not limited to:

• License agreements
• Revenue sharing provisions
• Ownership terms
• Usage restrictions

Failure to review such terms does not invalidate the legally binding nature of the purchase.

3. Intellectual Property Ownership and Master Rights

Unless explicitly negotiated and documented otherwise in writing:

• YoungKio retains ownership of the master recording and underlying composition for all instrumental works.

For all licenses except exclusive licenses, the following applies:

• YoungKio retains full ownership of the master recording.
• YoungKio shall be entitled to no less than fifty percent (50%) of all master recording revenue, royalties, or other income derived from the use of the licensed instrumental.

This includes but is not limited to revenue generated through:

• Streaming platforms
• Digital distribution
• Synchronization placements
• Physical sales
• Licensing deals
• Public performance royalties related to the master recording

If a party wishes to acquire full ownership or a buyout of YoungKio's master recording interest, such arrangement must be negotiated separately.

All buyout or ownership negotiations must be initiated by contacting:

Exclusive licenses may contain separate negotiated terms and are not subject to the automatic royalty structure described above.

4. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on the website for personal, non-commercial transitory viewing only.

This constitutes the granting of a license, not a transfer of ownership or title.

Under this license, you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose outside the scope of the purchased license
• Attempt to decompile or reverse engineer any software contained on the website
• Transfer the materials to another person
• Mirror the materials on any other server or platform

This license shall automatically terminate if you violate any of these restrictions and may be terminated by YoungKio at any time without notice.

Upon termination of the license, you must destroy any downloaded materials in your possession.

6. Limitation of Liability
